These Terms of Sale apply to every order placed with Jasmine Everestin LLC (“Jasmine Everestin”, “we”, “us”), 163 Armstrong St, Earle, Arkansas 72331. By opening an account or placing an order you agree to them on behalf of your business.
01 Who we sell to
We sell at wholesale to businesses only. To buy from us you need a valid federal EIN and a resale or sales-tax exemption certificate for the state you sell from. We don't sell to consumers, and we may decline or close any account at our discretion.
02 Accounts
Applications received by 3:00 PM Central Time are reviewed by the next business day. We may ask for a copy of your resale certificate, proof of address or a link to your storefront before approving an account. You are responsible for keeping your login details private and for orders placed under your account.
03 Orders & minimums
- A first order is a minimum of 24 units; reorders are a minimum of 12 units. Units may be mixed across any houses, sizes and formats.
- Gift sets are sold in multiples of 3. Testers are limited to one per six retail units of the same SKU.
- An order is accepted when we send a confirmed total. We confirm each line against counted stock and don't backorder or substitute: lines we can't fill are removed from the total before payment.
04 Prices & payment
Prices are those on the price list current on the day we confirm your order, in US dollars, excluding freight and any applicable tax. Volume pricing applies from 150 units a month and is shown on the price list.
For the first six months, orders are paid by ACH or card before dispatch. After six months of on-time payment, accounts may be offered Net 15 terms. Overdue balances may be charged interest of 1.5% per month or the maximum allowed by law, whichever is lower, and may result in a hold on new orders.
05 Shipping & risk
Orders paid by 1:45 PM Central Time on a business day ship the same day by UPS or FedEx Ground. Orders of 48 units or more ship free within the 48 contiguous states; smaller orders are charged ground freight at our carrier cost. Perfume is shipped as a regulated flammable liquid (UN1266) under Limited Quantity rules, by ground only. Alaska and Hawaii are quoted on request; we don't export.
Transit times we publish are typical, not guaranteed. Title and risk of loss pass to you when the carrier delivers the shipment to your ship-to address.
06 Testers
Testers are invoiced on separate lines and marked TESTER. They are supplied for in-store sampling and must not be sold as new retail units.
07 Breakage, shorts & returns
- Report breakage or carrier damage within 48 hours of delivery, with photos of the outer carton and the affected unit. Confirmed breakage is credited or replaced on your next order.
- Report shortages or wrong items within 5 business days of delivery.
- Retail units can be returned only by prior agreement, unopened and in their original cellophane, within 14 days of delivery. Testers, opened units and gift sets after December 31 are not returnable.
08 Authenticity & resale
All goods are genuine products of the named houses, supplied in their original packaging with the manufacturer's batch codes in place. If you believe a unit is not as described, tell us within 48 hours of delivery and we will take it back for inspection. Brand names and trademarks belong to their owners; we are an independent wholesaler and are not affiliated with or endorsed by the houses we carry.
You are responsible for complying with any resale rules that apply to your channel, including marketplace brand and category requirements.
09 Liability
To the extent allowed by law, our total liability for any order is limited to the price paid for the goods concerned. We are not liable for lost profits or indirect losses, or for delays caused by carriers, weather or events beyond our reasonable control.
10 Governing law
These terms are governed by the laws of the State of Arkansas, United States. Any dispute will be heard in the state or federal courts serving Crittenden County, Arkansas.
11 Changes & contact
